These Terms of Use (“Terms”) govern your access to and use of the uKnowMe mobile application and related services (the “App” or “Services”) provided by Roots Holding, Inc. (“Roots,” “we,” “our,” or “us”).
By creating an account, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
Eligibility
You must be at least 13 years old to use the App. By using the Services, you represent that:
You are at least 13,
You are legally able to enter into these Terms, and
You will comply with all applicable laws.
2. Your Account
To use uKnowMe, you must create an account using:
A phone number
A username/display name
Optional profile photo
You agree to:
Keep your account secure
Not share your verification codes
Not impersonate others
Notify us immediately of unauthorized access
We are not responsible for any loss caused by failing to secure your device or account.
Subscription and Payments
Some features of the App are available only through paid subscriptions or premium services (“Premium Features”).
Payments are processed through Stripe.
Subscriptions auto-renew unless canceled.
You must manage your subscription through the App’s “Account” or “Billing” section.
Fees are non-refundable except where required by law.
By purchasing Premium Features, you authorize Roots Holding, Inc. and Stripe to charge your payment method on a recurring basis.
User Content
The App allows you to send and upload content such as:
Text messages
Photos
Videos
Profile images
Other media
You retain ownership of your content. However, by using the App, you grant Roots a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit your content solely for the purpose of operating and delivering the Services.
We do not claim ownership of your content.
We do not use your content for advertising or AI training.
You are responsible for the content you send and share.
Prohibited Conduct
You agree NOT to use the App to:
Harass, threaten, or harm others
Promote hate speech, violence, or discrimination
Upload explicit or illegal content
Spread spam, scams, or fraudulent schemes
Impersonate another person
Interfere with security or attempt to access accounts that aren’t yours
Reverse engineer, modify, or exploit the App
Violate any applicable laws
We may remove content or terminate accounts that violate these rules.
Privacy
Your use of the App is also governed by our Privacy Policy, which explains how we collect and use your information.
By using the App, you agree to the Privacy Policy.
End-to-End Encryption
Messages are currently encrypted in transit.
Full end-to-end encryption will be implemented within the next 3–6 months.
Once implemented, message content will no longer be accessible to Roots.
Service Availability
UKnowMe is provided on an “as-is” and “as-available” basis.
We do not guarantee:
Uninterrupted service
100% uptime
That messages will always be delivered
That stored content will never be lost
You use the App at your own risk.
Termination
We may suspend or terminate your access to the App for any reason, including:
Violation of these Terms
Security threats
Illegal activity
Abuse
Nonpayment of Premium Features
Or for any reason at our discretion
You may terminate your account at any time by deleting it through the App.
Intellectual Property Rights
All rights to the App—including its design, code, branding, logos, and features—belong to Roots Holding, Inc. You may not:
Copy, modify, or distribute the App
Use our trademarks without permission
Reverse engineer the software
Disclaimers
To the fullest extent permitted by law:
The App is provided “as is” without warranties of any kind.
We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not responsible for user content, network failures, or device malfunctions.
You acknowledge that you rely on the App at your own risk.
Limitation of Liability
To the maximum extent allowed by law:
Roots Holding, Inc. is not liable for indirect, incidental, special, punitive, or consequential damages.
Our total liability for claims arising from your use of the App will not exceed the amount you paid us in the past 12 months, or $25 if you did not purchase Premium Features.
Some jurisdictions do not allow limitations of liability; in those cases, the minimum required protections apply.
Arbitration and Class Action Waiver
PLEASE READ THIS CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.
You agree that:
Any dispute between you and Roots Holding, Inc. arising out of these Terms or your use of the App will be resolved exclusively by binding arbitration.
No class actions or representative lawsuits are permitted.
You waive your right to participate in a class or collective action against Roots.
Arbitration will follow the rules of the American Arbitration Association (AAA) and will take place in California, USA.
If you do not agree to arbitration, you must stop using the App immediately.
Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
International Use
Roots Holding, Inc. operates from the United States.
Users outside the U.S. access the Services at their own discretion and are responsible for compliance with local laws.
Modifications to These Terms
We may update these Terms periodically.
If changes are material, we will notify users via:
In-app notice, or
Email (if legally required)
Continued use of the App means you accept the updated Terms.
